GOVERNING LAW AND DISPUTE RESOLUTION
1 This Contract shall be governed by and construed
according to relecant international treaties and the laws
of the People's Republic of China.
2 If any dispute or difference arises between the Parties
concerning this Contract,which cannot be resolced
within 14 days be amicable discussions,both Parties
hereby agree to submit such dispute to the China
lnternational Econimic and Trade Arbitration
Commission (“CIETAC”)Shanghai Sub-commission for
arbitration in accordance with its arbitration rules at the
time.All arbitrators that form the arbitration tribunal
should have good English abilities.The arbitration fees
shall be born by the Party that has lost the arbitration
case or otherwise decided by the arbitration tribunal.
3 Dunring the time period when a dispute has occurred and
has been submitted for arbitration,except for the
dispute matter that has been submitted for arbitration,
both Parties should continue to be entitled to their rights
and to perform their obligations.

治理的法律和解决争端
1 这个合同将被治理和将被解释根据relecant 国际条约和中华人民共和国的法律。
