In conjunction with the proposed listing (the “Listing”) of the Company and its subsidiaries (the “Group”) on the Main Board of The Stock Exchange of Hong Kong Limited (“Stock Exchange”), we are pleased to submit this memorandum to the Stock Exchange for reference purposes only, as required under Form III.
