In the event that payment could not be settled against seller’s invoice on the due date, then without prejudice to the application of any other provisions hereof and/or to any other remedy available to seller’s herein or otherwise, buyer shall pay seller interest on the overdue amount at a rate of SIBOR+2% per annum on that day, until and including the date settlement is made. Payment of the interest shall be made immediately upon receive an invoice for late payment of overdue amount from seller.

If the Seller is liable for the discrepancies and a claim is lodged by the Buyer within the time-limit of inspection as stipulated in the Contract, the Seller shall settle the claim upon the agreement of the Buyer in one of or the combination of the following ways:
a. Return the Commodity and refund to the Buyer the value of the Commodity so returned in the same currency as contracted herein, and to bear all direct losses and expenses in connection therewith including interest accrued, banking charges, freight, insurance premium, inspection charges, storage, stevedore charges and all other necessary expenses required for the custody and protection of the returned Commodity.
b. Devalue the commodity according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyer.
c. Replace defected commodities returned by the Buyer, which shall conform to the requirements on the specification, quality and performance as stipulated in this Contract, and the Seller shall bear all the expenses and direct losses sustained by the Buyer. The Seller shall, at the same time, guarantee the quality of the replaced commodities for a further period according to Clause 7 of the Contract.

如果卖方对发生的争议负有责任,并且买方在合同规定的有效验货期内对买方提起法律诉讼,卖方应在买方的同意下,根据下面的一条或多条规定解决争议.

A.接受退货,并根据合同规定使用同种货币向买方退还货物的价款,并承担一切直接损失和花费包括应计的利息,银行收费,运费,保险金,检验费,储存费,搬运工花费,和一切别的在保存和保护所要退还货物中支出的必要花费.

c. 退换买方退回的有缺陷的商品,这些商品应与合同中规定的规格,质量和性能一致,并且卖方应承担买方所受到的一切花费和直接损失.同时,卖方应根据合同的第7条,在一个更长的质保期内保证新的替换品的质量.
